A "private placement" is the offer and sale of securities to a limited group of investors without advertising or general solicitation, in a manner where the offering qualifies for an exemption from the registration requirements of the federal securities laws. For federal securities law purposes, SEC Rule 506 provides a safe harbor exemption from the registration requirements.
