"Scienter" is the mental state of mind of the intent to deceive or defraud. It is sometimes referred to as "guilty knowledge" or deliberately or knowingly taking an illegal action. For example, the violation of various sections of the U.S. securities laws requires that the purported lawbreaker had scienter in committing the act.
