"Cheap stock" often refers to stock sold by a company prior to its IPO at prices "substantially" below the IPO price. The cheap stock is typically issued to recruit or retain management of a company. If the SEC determines that the stock was issued too cheaply, the SEC will require a restatement of the company's financial statement to take into account additional deemed compensation expenses.
