A "back stop" is something that bolsters or supports; something that provides extra support or protection. In a securities context, a back stop relates to the unsubscribed portion of shares in an offering. It is a last-resort effort to provide support for the offering in which the offering company gets a "back stop" from a major shareholder or underwriter to purchase any of the unsubscribed shares to guarantee the amount that will be raised through thestock offering.
